Terms of Service

1. Acceptance of Terms

By accessing or using ClosedHand (“the Platform”), operated by ClosedHand Inc., you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Platform. These Terms apply to all visitors, users, and others who access or use the Platform.

The Platform provides WhatsApp AI sales agent services, including automated conversations, product recommendations, payment link generation, and customer engagement tools for businesses of all sizes.

2. Eligibility & Account Registration

You must be at least 18 years of age to use ClosedHand. By registering, you represent that the information you provide is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • You must provide a valid email address and verify your identity before accessing platform features.
  • One individual may not maintain more than one free account.
  • Business accounts must be registered using a valid business email.
  • You are solely responsible for activities conducted through your account.

3. Services Provided

ClosedHand provides a no-code platform that enables businesses to deploy AI-powered sales agents on WhatsApp. Our services include, but are not limited to:

  • WhatsApp AI Sales Agents: Automated chatbots that engage customers, recommend products, and close deals on your behalf.
  • E-Commerce Integrations: Connections with WooCommerce, Shopify, and other platforms for product catalog synchronization.
  • Multi-Language Support: Automatic detection and response in English, French, Arabic, Spanish, Portuguese, and more.
  • Analytics Dashboard: Real-time insights into conversations, sales, and agent performance.
  • Bring Your Own Key (BYOK): Support for multiple AI models including Google Gemini, OpenAI GPT-4, Anthropic Claude, Groq, DeepSeek, and Ollama.

4. Billing & Payments

ClosedHand offers both free and paid subscription plans. Details of each plan are available on our pricing page. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel your subscription.

  • All prices are listed in USD unless otherwise stated.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
  • Refunds are available within 14 days of the initial subscription purchase only if no significant usage has occurred.
  • AI model costs (API keys) are paid directly to the respective provider (OpenAI, Google, Anthropic, etc.). ClosedHand adds zero markup to AI costs.

5. Acceptable Use Policy

You agree not to use ClosedHand for:

  • Sending unsolicited messages (spam) or violating WhatsApp's Terms of Service.
  • Any illegal activity, fraud, or deceptive practices.
  • Distributing malware, viruses, or harmful code.
  • Impersonating another person, entity, or business.
  • Scraping data, reverse engineering, or decompiling the Platform.
  • Using the Platform to harass, abuse, or threaten any individual.

Violation of these terms may result in immediate account suspension or termination without prior notice.

6. Intellectual Property

All content, features, and functionality of ClosedHand — including but not limited to text, graphics, logos, icons, images, software, and code — are the exclusive property of ClosedHand Inc. and are protected by international copyright, trademark, and intellectual property laws.

You retain full ownership of your business data, product catalogs, customer conversations, and configurations. ClosedHand does not claim any ownership over your content.

7. Data Privacy & Security

We take your privacy seriously. Our data handling practices are described in our Privacy Policy. Key points include:

  • All API keys are encrypted using AES-256-GCM encryption at rest.
  • Conversation data is stored securely and never sold to third parties.
  • Self-hosted options (Ollama) ensure 100% data privacy — nothing leaves your infrastructure.
  • We comply with applicable data protection regulations including GDPR requirements.

8. WhatsApp Compliance

ClosedHand connects to WhatsApp via QR code authentication (similar to WhatsApp Web). By using our Platform, you acknowledge that:

  • You are responsible for complying with WhatsApp's Terms of Service.
  • Our built-in warm-up protection helps prevent account suspension, but ClosedHand cannot guarantee immunity from WhatsApp enforcement actions.
  • ClosedHand is not affiliated with, endorsed by, or sponsored by WhatsApp/Meta.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ClosedHand Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount you paid us during the twelve (12) months preceding the claim.

10. Account Termination

Either party may terminate the agreement at any time. You can delete your account from the Settings page in your dashboard. Upon termination:

  • Your access to the Platform will be immediately revoked.
  • Your data will be retained for 30 days for recovery purposes, after which it will be permanently deleted.
  • Any outstanding balance will be charged to your payment method.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account at least 30 days before they take effect. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes arising from these Terms shall be resolved through binding arbitration.
